PROSUME End User License Agreement
This End User License Agreement is a legal agreement between you and Prosume srl.
This agreement sets the norms and rules of your acquisition and use of our PROSUME software (“Software”) directly from Prosume srl or indirectly through an authorized Prosume srl reseller or distributor (a “Reseller”).
Please read this agreement carefully before using the PROSUME software. It provides a license to use the PROSUME software and contains information about warranty and disclaimers.
If you register for a free trial of the PROSUME software, this EULA will also govern that trial. By installing and/or using the PROSUME software, you confirm your acceptance of the software and agree to be bound by the terms of this agreement.
If you are agreeing to these terms and conditions on behalf of a corporation or other legal entity, you are declaring that you have the authority to legally represent such entity and its affiliates in this agreement. If you do not have such authority or if you do not agree with the terms and conditions of this agreement, do not install, or use the Software and do not accept this agreement.
This agreement applies only to the Software provided by Prosume srl, regardless of whether other software is referenced or described herein.
If you are entering into this agreement on behalf of a corporation or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you disagree with the terms and conditions of this agreement, do not install or use the Software and do not accept this agreement.
This agreement applies only to the Software provided by Prosume srl, regardless of whether other software is referenced or described herein. The terms also apply to any Prosume srl updates, supplements, Internet-based services, and support services for the Software, unless otherwise mentioned in the terms and conditions of these upon delivery.
Licensing
Prosume srl grants you a personal, non-transferable, non-exclusive license to use the PROSUME Software on your devices in accordance with the terms of this agreement.
You are authorized to load the PROSUME software (e.g., a PC, laptop, cell phone, or tablet) under your control. You are responsible for ensuring that your device meets the minimum requirements of the PROSUME software.
You are not permitted to:
- Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the software, nor allow the whole or any part of the software to be combined with or incorporated into any other software, nor decompile, disassemble or decrypt (decode? reverse engineer?) the software, nor attempt to do any of these things;
- Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose;
- Allow any third party to use the Software on behalf of or for the benefit of any third party;
- Use the Software in any manner that violates any applicable local, national, or international law;
- Use the Software for any purpose that Prosume srl considers a violation of this Agreement;
- Intellectual Property and Ownership.
The Software (and the copyright, and other intellectual property rights of any nature in the Software, including any modifications made) are and will remain the property of Prosume srl.
Prosume srl reserves itself the right to grant licenses to use the Software to third parties.
Termination
This Agreement is effective as of the date you first use the Software and will continue until terminated. It may be terminated at any time by written notice to Prosume srl.
It will also be terminated immediately if you fail to comply with any term of this Agreement. Upon such termination, the licenses granted by this Agreement will terminate immediately and you agree to cease all access to and use of the Software. The provisions that by their nature continue and persist will persist any termination of this agreement.
Applicable Legislation
This Agreement and any dispute arising from or in connection with this Agreement shall be governed by and interpretated in accordance with the laws of Italy.
